On the afternoon of July 16, the Guangzhou Brand Quality Innovation Promotion Association visited Longan Guangzhou for exchanges. During the presentation, Yang Ruwang discussed the impact of the new Company Law on the responsibilities of directors, supervisors, and board members. Using the evaluation of the new Company Law by Professor Liu Junhai, he said that the new Company Law represents a “spring” for small shareholders, a “summer” for creditors, a “autumn” for directors, supervisors, and board members, and a “winter” for dual-controlled persons. He explained that after the new Company Law came into effect, the responsibilities of directors, supervisors, and board members became more extensive. He also covered four aspects: the content of the responsibilities of directors, supervisors, and board members, the strengthening of these responsibilities by the new Company Law, the legal responsibilities of directors, supervisors, and board members after the new Company Law came into effect, and suggestions for risk prevention. He advised that directors, supervisors, and board members must fulfill their fiduciary and diligent obligations, verify and collect shareholder contributions promptly, and carefully prevent shareholders from withdrawing capital. They must also follow the procedures for avoiding and reporting related transactions, ensuring all actions are recorded for future reference.
In addition, Yang Ruwang also briefly introduced the basic situation of his team. As the head of the Yunflying Law and Business Team, Yang Ruwang’s team has many successful cases and extensive experience in professional areas such as corporate mergers and acquisitions, equity investment, construction projects, intellectual property, commercial litigation, and criminal defense.
