Frequently Asked Questions

General information on common questions in this practice area. Advice on a specific matter depends on its facts and documents.

Is there a deadline for a contractor's priority right to construction payments?

Yes. The contractor must exercise the priority right within 18 months from the date the employer should have paid. The priority covers construction payments only, and excludes interest, liquidated damages and compensation for late payment. The contractor should assert the right within the period by agreed conversion, auction application or litigation.

Can an actual builder sue the project owner directly?

An actual builder may sue the subcontracting party and may also name the project owner as a defendant. The owner is liable to the actual builder up to the amount of construction payments it still owes. Courts usually join the subcontracting party to establish the outstanding amount.

Can payments be settled if the construction contract is void?

Where the contract is void but the works pass acceptance, the contractor may claim compensation by reference to the contract price terms. Where the works fail acceptance, treatment depends on whether they pass after repair. Prepare acceptance records, variation orders and settlement evidence alongside any challenge to contract validity.

What can a buyer claim for late delivery or late title registration?

The buyer may claim late-performance penalties under the sale contract; where none are agreed, losses are usually assessed by reference to rent or the cost of funds. Where delivery is still not made within a reasonable period after demand, the buyer may terminate the contract. Review delivery conditions, exemption clauses and title registration terms first.
