Longan Guangzhou
Recently, at the invitation of the Law School of Guangzhou Xinhua University, Lawyer Zhang Jing, a senior partner of Beijing Longan (Guangzhou) Law Firm, visited the A class of the Law School of Guangzhou Xinhua University in 2023. She gave a special presentation titled “Key Operational Risks and Countermeasures for Private Enterprises under the New Economic Environment”.
During the course, Lawyer Zhang Jing and Teacher Li Tianyu, an advisor from Longan Guangzhou, adopted a “dual-teacher in one class” interactive teaching model. They discussed in depth how legal principles and practical matters can be effectively integrated with the teachers and students present.
At the beginning of the event, Teacher Li Tianyu started from the course objectives, stating that the purpose of this teaching was to “link up legal principles and practical matters”. She emphasized that legal knowledge should not remain at the theoretical level, but must be integrated with real business scenarios to become effective risk prevention and control capabilities. Using the metaphor of “meridians”, Teacher Li illustrated the necessary connection between legal theory and judicial practice. She pointed out that private enterprises, especially small and medium-sized ones, often face the dilemma of “understanding theory but not being able to apply it” in aspects such as governance structure, contract performance, and equity structure. She guided the students to approach learning with practical problems, laying a clear theoretical framework and problem awareness for subsequent practical analysis.
Subsequently, Lawyer Zhang Jing, combining her case handling experience and enterprise challenges, systematically analyzed the key risks of private enterprises, including the joint liability risk and reversal of burden of proof for shareholders of one-person companies; debt risks and governance improvements in the “husband-and-wife business” model; the boundaries of supplementary liability of original shareholders after equity transfer; compliance requirements for capital contribution deadlines and actual capital composition; and the identification and evidence-gathering of property mixing between companies and shareholders.
Regarding the classroom discussion on “Is a one-person company suitable for entrepreneurship”, Lawyer Zhang Jing pointed out that in one-person companies, there is a reversal of the burden of proof in liability assumption. If it cannot be proven that personal and company properties are strictly separated, shareholders may bear joint liability for company debts. By combining a case of equity changes in a celebrity’s one-person company, she further explained the importance of equity structure design and governance boundaries.
Regarding professional growth, Lawyer Zhang Jing encouraged students to view commercial legal fields with a long-term perspective. Commercial lawyers mainly serve company clients with stable needs and strong payment capabilities. With the growth of foreign trade and cross-border business, the legal service needs of enterprises in compliance, investment and financing, and overseas expansion continue to increase. Public data shows that China’s outbound direct investment reached $192.2 billion in 2024, ranking third in the world. Relying on the location and industrial advantages of the Guangdong-Hong Kong-Macao Greater Bay Area, many family businesses are accelerating their “going global”, creating broad opportunities in non-litigation fields such as regular consultation, business expansion, and overseas compliance.
In terms of capacity building, Lawyer Zhang Jing suggested that students strengthen their foundation in company law, tax law, and accounting, enhance their “entrepreneur perspective”, and improve their solution capabilities oriented towards problems. At the same time, she encouraged converting what they learned in class into practical compliance practices through legal clinics, public welfare legal services, joint research projects with schools, academic competitions, and field research. Lawyer Zhang Jing welcomed students to intern at Longan (Guangzhou) to hone their professional skills and vocational qualities through real cases.
Teacher Li Tianyu, a full-time teacher at the Law School of Guangzhou Xinhua University and an advisor from Longan Guangzhou, also supports integrating “learning—practice—application” through practical projects to cultivate composite applied talents.

Lawyer Zhang Jing
Lawyer Zhang Jing is a senior partner at Longan Guangzhou, the director of the Company Law Committee of Longan Guangzhou, and the deputy director of the Tax-related Business Department. She is also a senior researcher at the Longan Bay-ASEAN Law Research Center. With a bachelor’s degree in law from Sun Yat-sen University, she has long been engaged in legal services in areas such as equity structure design, corporate mergers and acquisitions and restructuring, private equity funds, equity incentives, cross-border investment and financing, and technology transfer. She is skilled at designing transaction and equity structures according to different transaction backgrounds and drafting clear and logical legal documents, which are highly praised by clients.
Lawyer Zhang has provided professional legal services for many well-known enterprises such as Midea Group, Star Lake Real Estate, Yuze Real Estate, Jingye Mingbang Real Estate Group, Bo Shi Le Education Group, Foshan Jinkong, Yingfeng Holdings, and Foxconn. She is a new talent in foreign-related lawyers in Guangdong Province, a leading talent in foreign-related lawyers in Guangzhou, a member of the Equity Investment and Private Equity Committee of the Guangdong Lawyers Association, holds legal practice qualifications in the People’s Republic of China, and is a member of the Democratic Construction Party.
Li Tianyu
Li Tianyu, female, Ph.D. in law. She is a full-time teacher at the Law School of Guangzhou Xinhua University, mainly teaching commercial law, tort law, and private international law. She is an advisor to Beijing Longan (Guangzhou) Law Firm, focusing on cross-border trade, corporate legal affairs, and civil and commercial disputes. She has presided over and participated in 2 national-level and 2 provincial-level research projects, as well as 2 university-level projects. In the past two years, she has published 7 academic papers, emphasizing the integration of theory and practice. She is a member of the Marriage and Family Law Research Association of the Guangdong Law Society (2024-2029). She won the second prize in the 2025 Academic Annual Conference of the Law Education Research Association of the Guangdong Law Society; an excellent paper in the 13th International Commercial Arbitration Essay Contest of the Zhonglun Cup; and the third prize in the 2025 Mazhou Law Society Essay Contest.
